Terms of Service
Last updated October 14, 2026
These terms are an agreement between you and Prometheus Research Group ("PyraLedger", "we", "us") for the use of pyraledger.ai, app.pyraledger.ai, and the bookkeeping services we deliver through them (together, the "Service"). By creating an account or using the Service, you agree to them.
What the Service is
PyraLedger is a done-for-you bookkeeping service. You send us bank and card statement exports; we categorize transactions with AI assistance and human review, keep your ledger, close each month, and deliver reports and a close package you can hand to your CPA.
What the Service is not
- Not a CPA firm. We are not certified public accountants and we do not perform audits, reviews, compilations, or any attestation engagement. We do not sign off on your financial statements.
- Not tax advice. We do not prepare tax returns or give tax, legal, or investment advice. Decisions about how to treat an item for tax purposes belong to you and your CPA.
- Not a guarantee of accuracy. We work carefully, and a person reviews every entry before it posts, but bookkeeping depends on the completeness and accuracy of what you send us. Review your reports and tell us promptly about anything that looks wrong.
Your account
- You must be at least 18 and authorized to act for the business you register.
- Keep your password confidential. You are responsible for activity under your account.
- Give us accurate information and keep it current.
Your responsibilities
- Upload complete statement exports for every account you want included, on time, each period.
- Answer our questions about unclear transactions within a reasonable time.
- Do not upload bank login credentials or other data we have not asked for.
- Do not use the Service for anything unlawful, to misrepresent your finances, or to attempt to access another client's data.
Fees and billing
Plans and prices are listed at pyraledger.ai/#pricing. Fees are billed monthly in advance. A "free audit" is a no-cost, no-obligation look at one month of your books; it does not include a delivered close package unless we agree otherwise in writing. We may change prices with at least 30 days' notice; changes take effect at your next billing cycle. Fees already paid are not refundable except where required by law.
Closed periods
Once a period is closed, its entries are locked and its close package is final. Reopening a closed period is done only by us, at your request, and creates an audited record of the change.
Your data
Your financial records remain yours. You grant us a limited license to store, process, and transmit them as needed to provide the Service. How we handle your data is described in our Privacy Policy. On request we will export your data in a reasonable format. After you close your account, we delete or anonymize your data as the Privacy Policy describes.
Our intellectual property
The Service, its software, design, and documentation are ours. These terms do not give you any rights to them beyond using the Service as intended.
Ending the agreement
You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate your account if you break these terms, do not pay, or if continuing to serve you would expose us to legal risk. We will give you a reasonable opportunity to export your data unless prohibited by law.
Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose. We do not warrant that the Service will be uninterrupted or error-free.
Limitation of liability
To the fullest extent permitted by law, our total liability to you for all claims arising out of the Service in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect, incidental, consequential, or punitive damages, or for penalties, interest, or losses arising from tax filings, lender decisions, or other uses of the reports we prepare.
Indemnity
You will defend and indemnify us against claims arising from your breach of these terms or from inaccurate or incomplete information you provide.
Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Texas, and you consent to their jurisdiction. Before filing, each side agrees to try in good faith to resolve the dispute by email for at least 30 days.
Changes to these terms
We may update these terms. We will post the new version here and update the date above. For material changes we will email account holders at least 14 days before they take effect. Continuing to use the Service after that date means you accept the new terms.
